Terms of Service

These Terms govern your use of Kayease CRM (the “Service”), provided by Kayease Global Solutions (“we”, “us”). By creating an account or using the Service you agree to them on behalf of the business you represent (“you”, the “Customer”).

1. The Service

The Service lets you manage contacts, send WhatsApp, email and SMS messages, run campaigns with approvals, and manage a sales pipeline. WhatsApp messages are sent through Meta's official WhatsApp Business Platform (Cloud API) using a WhatsApp Business Account that you own. SMS is sent through your own DLT registration and gateway account; email through your own mail server or provider.

2. Your account

  • You must give accurate information and keep your sign-in credentials secret. You are responsible for everything done under your account, including by the team members you invite.
  • You must be authorised to bind the business you sign up for, and be at least 18 years old.
  • You may cancel at any time from Billing. Cancellation takes effect at the end of the paid period.

3. Acceptable use — consent comes first

You must not use the Service to send messages that a recipient has not agreed to receive. In particular, you must:

  • hold a valid, recorded opt-in from each person before messaging them on each channel, and honour opt-outs (including “STOP” replies) immediately;
  • comply with Meta's WhatsApp Business Messaging Policy, Commerce Policy and Business Terms; TRAI's Telecom Commercial Communications Customer Preference Regulations, including DLT registration of headers and templates; and all applicable anti-spam, consumer-protection and data-protection laws, including the Digital Personal Data Protection Act, 2023;
  • not import purchased, scraped or rented contact lists and message them without consent;
  • not send unlawful, deceptive, harassing or infringing content, or content about prohibited goods and services;
  • not attempt to access another customer's data, probe or disrupt the Service, or circumvent its limits or safeguards.

The Service enforces some of these rules (consent at send time, quiet hours, approvals), but responsibility for your messages and your contact data remains yours.

4. Fees and payment

  • Subscriptions are billed monthly in advance at the prices shown on the Billing page, plus applicable taxes (including GST). Payments are processed by Razorpay.
  • New accounts receive a free trial. At its end, sending stops until you choose a plan; your data is kept.
  • Charges levied by Meta for WhatsApp conversations are billed by Meta directly to your WhatsApp Business Account and are not included in our fees. SMS gateway and email provider charges are yours.
  • If a renewal payment fails, sending continues for a short grace period while it is retried, then stops until payment is made.
  • Fees are non-refundable except where required by law.
  • Plan limits (workspaces, team members, contacts, messages) apply as described on the Billing page.

5. Your data

You own the data you put into the Service (“Customer Data”), including your contacts. We process it only to provide the Service and as described in our Privacy Policy and Data Processing Agreement, which forms part of these Terms. You are the data fiduciary for the personal data of your contacts; we act as your data processor.

6. Suspension

We may suspend your account, with notice where reasonably possible, if you breach section 3, if your messages put the Service or other customers at risk (for example, of a WhatsApp number or sender reputation being blocked), if fees are unpaid, or if required by law. Our staff may access your account to provide support you have requested or to investigate a suspected breach; every such access is recorded in your account's audit log.

7. Third-party services

The Service relies on services we do not control, including Meta's WhatsApp Business Platform, SMS gateways, mail providers and AI model providers. Their availability, pricing and rules (including Meta's template approvals and messaging limits) may change, and they may suspend your accounts with them under their own terms.

8. Availability and support

We aim to keep the Service available at all times but do not guarantee uninterrupted operation. Planned maintenance is announced in advance where practical. Support is available at support@kayease.com.

9. Warranties and liability

The Service is provided “as is”. To the extent permitted by law, we exclude all implied warranties, and our total liability arising out of these Terms in any twelve-month period is limited to the fees you paid us in that period. We are not liable for indirect or consequential loss, lost profits, or for messages sent, delayed or blocked by third parties. Nothing in these Terms limits liability that cannot be limited by law.

10. Indemnity

You will indemnify us against claims arising from your messages, your contact data, or your breach of section 3.

11. Termination and data

On cancellation or termination you may export your data for 30 days, after which we delete it from the live Service. You can ask us to erase it sooner. Backups are overwritten on their normal cycle.

12. Changes

We may update these Terms. We will notify account administrators of material changes at least 30 days before they take effect; continuing to use the Service after that means you accept them.

13. Governing law

These Terms are governed by the laws of India. The courts at Jaipur, Rajasthan, India have exclusive jurisdiction.
